Terms of Service

By accessing the website at bvrai.ca, installing or using the Automax desktop application, or using any other product or service operated by BVRAI Inc. (“BVRAI”, “we”, “us”), you agree to these Terms of Service. If you do not agree, do not use the service.

You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) and legally able to enter into a binding contract. By using the service you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when registering and to keep it up to date. Notify us promptly at support@bvrai.ca of any unauthorized access.

You agree not to:

• Use the service in violation of any applicable law or regulation.
• Infringe the intellectual property, privacy, or other rights of any person.
• Use AI features to generate or attempt to generate prohibited content, including child sexual abuse material, instructions for weapons capable of mass harm, content intended to surveil or harm protected groups, or content that violates the policies of our upstream AI providers (Anthropic, OpenAI, xAI, Google, OpenRouter, and others).
• Impersonate another person or misrepresent your affiliation.
• Attempt to scrape, harvest, reverse engineer, decompile, or extract source code or training data from the service, except as permitted by applicable law.
• Probe, scan, or test the vulnerability of the service without prior written authorization.
• Use the service in a way that overloads, disrupts, or interferes with its operation.
• Resell, sublicense, or redistribute the service without our written permission.

Paid features of the service are offered on a subscription basis. The current plan consists of a monthly base fee plus metered AI usage billed at our cost with a small markup; current pricing is shown on the pricing page and may change with notice. Subscriptions are billed monthly in advance through Stripe. You may cancel at any time to stop future billing.

Subscription fees are billed monthly in advance and are not refundable for partial months. Cancelling your subscription stops future billing but does not refund the current period. Specific refunds may be granted at our sole discretion.

The service uses artificial intelligence models that can produce inaccurate, incomplete, biased, or otherwise unreliable output. AI-generated content may appear authoritative even when it is wrong. You are solely responsible for reviewing and verifying any AI-generated output before relying on it for any consequential decision, including but not limited to legal, financial, medical, real-estate, professional, or regulatory matters.

BVRAI does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output, and you use it at your own risk.

We work to keep the service available and reliable, but we do not guarantee uninterrupted operation, response times, error-free functioning, or the continued availability of any specific feature. We may modify, suspend, or discontinue any part of the service at any time, with or without notice. We may also impose usage limits, rate limits, or quotas at our discretion to maintain the quality and security of the service.

You retain ownership of the content you submit to the service (“Your Content”), including prompts, files, and outputs derived from your inputs. You grant BVRAI a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process, and display Your Content as necessary to operate the service for you.

BVRAI’s trademarks, logos, software (including the Automax desktop application source and binaries), documentation, and all other proprietary materials remain the exclusive property of BVRAI and its licensors. Nothing in these terms grants you any right in our intellectual property except the limited right to use the service in accordance with these terms.

You may stop using the service and close your account at any time. We may suspend or terminate your access to the service immediately if we reasonably believe you have violated these terms, engaged in fraud or abuse, or pose a risk to the service or to other users. On termination, your right to use the service ends; the provisions of these terms that by their nature should survive (including disclaimers, liability limits, indemnification, and governing law) will survive.

The service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, BVRAI disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, security, and uninterrupted operation. You use the service at your own risk.

BVRAI makes no representation that the service will meet your requirements, that defects will be corrected, that the service will be free of viruses or harmful components, or that any AI output will be accurate or suitable for any particular purpose.

To the maximum extent permitted by applicable law, BVRAI and its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of (or inability to use) the service, even if BVRAI has been advised of the possibility of such damages.

BVRAI’s aggregate liability for any claim arising out of or relating to the service is limited to the greater of (a) CAD $100 or (b) the fees you paid us in the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limits may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless BVRAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the service, your violation of these terms, your violation of any law, or your infringement of any third-party right.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these terms or the service will be resolved exclusively in the courts of the Province of Ontario, and you submit to the personal jurisdiction of those courts.

We may update these terms from time to time. The “Last updated” date at the top reflects the most recent change. For material changes, we will notify you by email or through an in-product notice before the changes take effect. Your continued use of the service after the effective date constitutes acceptance of the updated terms.

If any provision of these terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. These terms, together with the Privacy Policy, constitute the entire agreement between you and BVRAI regarding the service.
